Invest in America.
Diversified, data-driven exposure to the private companies building America, the businesses Wall Street reaches only after their IPOs. A raise of roughly $20M under Rule 506(c), for verified accredited investors, on Wefunder. Terms are plans until the offering documents say otherwise.
Venture didn't shrink. It narrowed.
America runs on the businesses venture capital stopped funding.
- Venture moved upstream. 86% of H1 2026 venture dollars went to AI, concentrated in three or four metros.
- Great companies still start everywhere. A record 10,000+ U.S. startups are on pace to raise a first round this year, in all fifty states.
- No natural home. A company in the wrong metro or sector, or too capital-efficient to need a mega-round, has nowhere in venture to go.

One market makes these companies open their books, and we built the tools to read it.
- One market never stopped disclosing. Since 2016, Regulation Crowdfunding has put about $3B into these companies, with real financials filed with the SEC, year after year.
- A decade of data no one else has. A record of every raise and every dollar committed since 2016, captured live and impossible to rebuild.
- A running start. We invest early, across enough companies to catch the breakouts.

Retail wants into private markets. The problem is what you can actually buy.
The premium retail has paid over NAV in the past twelve months for listed private-tech exposure. That premium is unmet demand, priced.
Robinhood's second listed venture fund, raised at its August 2026 IPO.
Held in interval and tender-offer funds, the fastest-growing wrapper for private assets.
A 2025 executive order directed regulators to open retirement plans to private assets; rulemaking is under way.

Four ways into private companies.
Every one until now lands late, blind, or both.
| Listed proxies | Interval / tender | Traditional VC | D3VC Fund II | |
|---|---|---|---|---|
| When you arrive | Years 8 to 15 | Late secondaries | Years 1 to 4, if invited | Years 1 to 4 |
| Company must disclose | Nothing | Nothing | A Form D: name, state, amount | Financials with every raise; annual report to the SEC, public on EDGAR |
| Entry valuation | Household name plus market premium | Late-stage marks, manager-set | $10M to $30M post | A disclosed valuation or cap in Form C |
| What you own | 36 to 80 famous names | LP interests in other funds | 20 to 30 names | 125 to 150 names |
| Selection | Passive or one accelerator | Manager allocation | Founder story, pattern-matching | Every filing screened daily by our models, then human diligence |
| Liquidity | Daily | ~5% quarterly, not guaranteed | Ten years | None expected; ten-year term |
| Cost | Expense ratio plus premium | 2 to 3%+ | 2 / 20 | 1.5 / 20 |
Diversification like an index. Selection like a venture fund.
The Fund I method, now deployed at scale: data-driven selection across the American economy, not just Silicon Valley unicorns. Roughly three new Reg CF offerings reach the market every day, and every one is screened against ten years of daily records that only D3VC holds whole.
A concentrated fund lives or dies on a few home runs. Across 125 to 150 positions, no single company has to return the fund.
Fund II doesn't start from zero.
Every Fund I investor has committed to rolling their entire position into Fund II, in kind, into the same vehicle you are joining. You join a portfolio already in motion: 23 companies and one fund, already sourced and diligenced, alongside the people who built it. Fund II then adds new positions over 24 to 36 months toward the full 125 to 150.
What the portfolio actually holds.
The companies that make, grow, care for and invent things, wherever in the country they happen to be, not just where the money already is.

Who this is for.
D3VC is designed for
- Family offices and long-term investors
- LPs seeking early-stage exposure with discipline
- Investors who value data, process and downside awareness
- Capital that can tolerate illiquidity and long horizons
D3VC is not designed for
- Short-term liquidity seekers
- Theme-driven or momentum strategies
- Passive allocation without engagement
- Investors expecting rapid deployment or near-term exits
Risk
An investment in Fund II is speculative and illiquid, involves a high degree of risk including the loss of your entire investment, and is suitable only for investors who can bear that loss. There is no secondary market for fund interests and the fund has a ten-year term. Early-stage companies frequently fail. Management fees and carried interest reduce returns. Read the offering documents before investing.
Plans, not promises.
